What is alleged to have happened
A SEBI adjudicating officer issued this order on 26 July 2023 against Arun Panchariya. It follows a March 2023 Securities Appellate Tribunal ruling that set aside a June 2022 order for want of service of the show cause notice, and it concerns the GDR issues of Southern Ispat and Energy Ltd., a company listed on the NSE and BSE.
SEBI examined two issues, in August 2010 and June 2011, which together raised about USD 29.98 million through some 4.04 million GDRs. SEBI said the company's board had authorised an account at EURAM Bank that could be used as loan security, and that Vintage FZE, a company controlled by the noticee, was the only subscriber, paying with money borrowed from the bank. When Vintage defaulted, EURAM adjusted about USD 13.67 million against the pledged proceeds, while about USD 16.13 million reached the company. Sub-accounts linked to him converted GDRs and sold the shares in India for about Rs 50.18 crore.
The officer held that he structured the issues with the company and that the disclosures to the market, which presented the GDRs as genuinely subscribed, concealed the pledge. The order finds violations of section 12A of the SEBI Act and Regulations 3 and 4(1) of the PFUTP Regulations 2003 and puts the shareholders' loss at USD 13.67 million.
The penalty under section 15HA was Rs 20 lakh, payable within 45 days. No market restriction was imposed in this order.
