What is alleged to have happened
SEBI adjudicating officer G. Ramar issued this order on 26 July 2023 against one noticee, Arun Panchariya, in the matter of the global depository receipt issue of Edserv Softsystems Limited, a company listed on the BSE and NSE.
SEBI's investigation covered July and August 2011. It found that Edserv issued 1.6 million GDRs worth USD 23.89 million, representing 8 million shares, and that one entity, Vintage FZE, subscribed to all of them with a loan from EURAM Bank. Edserv allegedly pledged the GDR proceeds as security for that loan, and Vintage was controlled by Mr Panchariya. SEBI alleged that Edserv never told the exchanges about the pledge, the link to the loan or the single subscriber, but announced that the GDRs were subscribed, which it said misled Indian investors. After Vintage defaulted the bank took about USD 23.29 million from the proceeds, leaving only about USD 0.6 million with the company. Funds connected to Mr Panchariya then converted GDRs into shares and sold them in India for about Rs 12.86 crore.
The officer held that he devised and structured the issue with the company, and found violations of section 12A of the SEBI Act and Regulations 3(a)-(d) and 4(1) of the PFUTP Regulations 2003. In assessing the penalty the officer called him the key person, put the shareholders' loss at about USD 23.29 million, and noted this was one of several similar matters.
The penalty was Rs 20 lakh under section 15HA, payable within 45 days. The order applies the amended statute, with its Rs 5 lakh minimum, rather than the older fixed figure. No market restriction was imposed in this order.
