What is alleged to have happened
A SEBI adjudicating officer issued this order on 26 July 2023 against one noticee, Arun Panchariya. It concerns the global depository receipt issue of Zenith Birla (India) Limited, now Zenith Steel Pipes & Industries Limited, a company listed on the BSE and NSE.
SEBI investigated May and June 2010. It found that the company issued 1.81 million GDRs worth USD 22.99 million, equal to about 54.4 million shares, and that Vintage FZE, a Dubai company, was the only subscriber. Vintage borrowed the subscription money from EURAM Bank under a loan agreement that Mr Panchariya signed as its managing director, and the company signed a pledge agreement putting the GDR proceeds up as security. SEBI alleged the issue would not have been subscribed without that security, and that it was announced to the exchanges as an ordinary allotment, without disclosing the arrangement.
The order records that Vintage defaulted on about USD 14.46 million of the loan, which was set off against the company's pledged proceeds, so that only a part of the money was ever usable by the company. Funds connected to Mr Panchariya converted and sold the resulting shares in India. The adjudicating officer held that he took part in a scheme to defraud investors and found violations of section 12A of the SEBI Act and Regulations 3(a)-(d) and 4(1) of the PFUTP Regulations 2003.
The penalty was Rs 20 lakh under section 15HA, payable within 45 days. No market restriction was imposed in this order.
