What is alleged to have happened

On September 10, 2014 the SEC accepted a settlement with Advanced Cell Technology, Inc. The order finds that annual reports and proxy statements for fiscal years 2011 and 2012 said the company knew of no late Section 16(a) filings by insiders beyond those listed, when its CEO had filed four reports late and failed to file twelve, and it imposes a $375,000 civil penalty.

The $3.5 million disgorgement and $586,619 interest the record showed come from a separate earlier settlement the order mentions as background, not from this order. The order finds no Section 5 violation, so the record carries no technique tag and no disgorgement.
