What is alleged to have happened
SEBI whole-time member Ananth Narayan G. issued the final order on 11 October 2024. The noticees were Royal Orchid Hotels Limited, a Bengaluru hotel operator listed on BSE and NSE, its promoters Chander Kamal Baljee and Keshav Baljee, and Amit Jaiswal. The proceeding followed an interim order and show cause notice of 31 March 2023.
SEBI alleged that the company treated Ksheer Sagar Developers Pvt. Ltd. as an associate rather than a subsidiary. According to the notice, this inflated the profit in the consolidated financial statements for 2021-22, supported the share price, and allowed the two promoters to sell shares at higher prices.
The order upheld the central complaint that the entity was wrongly classified, with the effect that investors did not get a true and fair picture of the company's finances. On the promoters' sales, it records that there was no conclusive evidence of illegal gains, and that the material did not show the amount of loss to investors or any repetition.
Because of the continuing distortion, SEBI directed remedial measures: a public disclosure of the order's directions within 7 days, disclosure of the subsidiary's audited financial statements for 2021-22 to 2023-24 within a month, and a report on the impact on the consolidated statements certified by an independent peer-reviewed chartered accountant. It imposed penalties under sections 15HA and 15HB of Rs 5,00,000 and Rs 1,00,000 on each of the four noticees, Rs 24,00,000 in all. No restraint from the market was ordered.
