What is alleged to have happened
SEBI chief general manager G. Ramar issued the final order on 30 July 2024. There were sixteen noticees: Omaxe Limited, its chairman and managing director Rohtas Goel and other executive and non-executive directors, chief financial officers and independent directors. Twelve are named on this record; four further directors are not listed here.
SEBI began with a complaint alleging fraudulent transactions, diversion of funds and inflated turnover, followed by a forensic audit covering April 2018 to March 2021. The show cause notice of August 2023 alleged that the company and its management knowingly reported false financial statements so as to maintain the share price, to the benefit of shares that had been pledged. The listed items included overstated sales to related counterparties, allegedly fictitious consultancy revenue, overstated debtors, rent and interest expenses, and wrongly classified loans.
The order finds that the executives named as noticees 2 to 6 and the company breached the fraud and unfair trade practice regulations read with section 12A of the SEBI Act, along with listing regulation obligations on accounts. For the other noticees it found failures of duty, such as independent directors and audit committee members who did not act, resulting in misleading statements being published, and breaches of the listing regulations only.
The company and noticees 1 to 6 were restrained from the securities market for 2 years, and noticees 2 to 6 were barred from director or key managerial posts in other listed companies for 2 years. Penalties were Rs 7,00,000 on Omaxe, Rs 6,00,000 each on five executives and Rs 1,00,000 each on ten other directors, Rs 47,00,000 in all.
