What is alleged to have happened

A SEBI adjudicating officer issued this order on 11 August 2023. It covers Concord Drugs Ltd, listed on BSE, and eleven current or former officers: the chairman, the managing director, the chief financial officer, four directors treated as non-independent and four successive compliance officers. The period examined was FY2015-16 to FY2019-20.

SEBI acted on a complaint about differences in the company's trade receivables. On review, it noticed invoices carrying manufacturing dates later than the invoice dates, mismatched debtor names and addresses, and shared addresses among debtors. It referred these to BSE for a forensic audit, and SEBI then opened an investigation in April 2022. SEBI alleged that the company misrepresented its accounts, left out related parties and their transactions, and failed to obtain required approvals.

The order finds the company misrepresented its accounts through wrong statements, disclosures and omissions, did not follow accounting standards, appointed ineligible independent directors, did not file a limited review report, and twice went without a compliance officer. It held that these lapses together enabled the company to present a false positive picture to investors, which it treated as fraud on the market, in breach of section 12A of the SEBI Act, Regulations 3 and 4 of the PFUTP Regulations and the listing regulations. The chairman, managing director, CFO and four directors were held responsible; the four compliance officers were held to have breached Regulation 6 of the listing regulations.

Penalties were set per noticee: Rs 15,00,000 each on the company, the chairman and the CFO; Rs 16,00,000 on the managing director; Rs 10,00,000 each on two directors; Rs 11,00,000 each on two other directors; and Rs 1,00,000 each on the four compliance officers. Together these come to Rs 1,07,00,000, the figure recorded here. Some of the amounts cover several provisions at once, so the order's table, not this total, governs each person's liability.
