What is alleged to have happened

A SEBI whole time member decided this matter on 27 September 2022. The noticees are Akkash Patni, Vimal Kumar Patni and Vikash Patni, directors of Vikash Metal & Power Limited. The Securities Appellate Tribunal had quashed SEBI's earlier order of 29 September 2021 against them in February 2022 and sent the matter back, requiring a fresh show cause notice to be served.

The original notice of February 2018 named thirteen noticees. It alleged that in April 2011 the company issued about 12 lakh GDRs worth USD 11.99 million, listed in Luxembourg, with Pan Asia Advisors as lead manager and a single subscriber, Vintage FZE. Vintage borrowed the full subscription from Euram Bank, while the company's own GDR proceeds account at the same bank was pledged as security. Vintage repaid only about USD 550,000 before defaulting, and the bank appropriated the pledged funds. Other sums were sent out of the account, including to the company's Indian account and to Pan Asia.

The order concludes that the company, in connivance with Vintage, devised a fraudulent scheme in which Vintage obtained GDRs without paying for a substantial part of them, at the cost of the company's shareholders and investors. It holds the three directors liable because they ran the company's day-to-day affairs and knew what was done during the issue, and finds they violated section 12A of the SEBI Act and Regulations 3(a) to (d) and 4(1) of the PFUTP Regulations.

Each of the three is restrained from accessing the securities market for four years, and debarment already served under the quashed 2021 order is deducted. There is no monetary penalty in this order, and the order notes it is without prejudice to other action.

The record does not show the outcome for the other ten original noticees in this remand, whether this order was appealed, or any amounts recovered. A copy was sent to the official liquidator of the Calcutta High Court.
