What is alleged to have happened

An adjudicating officer of SEBI issued this order on 16 June 2022 in the matter of the 2010 global depository receipt (GDR) issue of Zenith Steel Pipes & Industries Limited, formerly Zenith Birla (India) Limited, a company listed on BSE and NSE. The seven noticees were the company, four of its directors including the managing director M.S. Arora and Yash Birla, and two outside individuals, Arun Panchariya and Mukesh Chauradiya.

SEBI's investigation concerned the issue of 1.81 million GDRs worth USD 22.99 million, equivalent to about 5.43 crore equity shares. The whole issue was taken up by one entity, Vintage FZE, which paid for it with a loan from EURAM Bank, with the company's own GDR proceeds pledged to the bank as security. SEBI alleged that when Vintage defaulted, the bank recovered USD 14,505,221 from the company's proceeds, and that the shares converted from those GDRs were sold in the Indian market with Vintage in effect acquiring them at no cost.

The order treats the issue as a fraud on investors in which the company funded its own subscription, and finds breaches of section 12A of the SEBI Act, the 2003 fraud and unfair trade practices regulations and, for the company, the listing agreement. It also treats the scale, USD 22.99 million, as aggravating.

The penalties were Rs 10,00,00,000 on the company, Rs 20,00,000 each on Mr Murthy and Mr Panchariya, and Rs 10,00,000 each on Mr Birla, Mr Arora, Mr Kurias and Mr Chauradiya, a total of Rs 10.8 crore, payable within 45 days. No trading restriction is recorded in the order.
