What is alleged to have happened
A SEBI adjudicating officer, G Ramar, decided the matter on 25 May 2022. The five noticees were Birla Cotsyn (India) Ltd (BCIL) and four of its directors: P V R Murthy, Yashovardhan Birla, Y P Trivedi and Mohandas Adige. SEBI had investigated BCIL's issue of global depository receipts (GDRs) between February and April 2010.
SEBI alleged that the issue was a fraud. BCIL's board resolved in December 2009 to open an account at EURAM Bank to receive the GDR subscription and to let the deposit serve as security for loans. In February 2010 a pledge agreement was signed, executed for BCIL by Mr Murthy, that pledged the GDR proceeds against a loan taken by Vintage FZE, the entity that subscribed to the GDRs. SEBI said the arrangement was not disclosed to the public, that BCIL did not tell the exchanges about the pledge, the delisting of the GDRs from the Luxembourg exchange or the end of the depositary facility, and that its accounts presented the pledged cash as free cash.
The officer found that BCIL issued about 9.69 million GDRs worth US$24.99 million to Vintage on 15 March 2010 and that the pledge and loan agreements were signed together, so the issue would not have been subscribed without the security. The scheme was held fraudulent, and the four directors, who attended the board meeting, were held to have been parties to it under section 12A and Regulations 3 and 4(1) of the 2003 fraudulent and unfair trade practices regulations.
The penalties under section 15HA were Rs 20 lakh on Mr Murthy and Rs 10 lakh each on Mr Birla, Mr Trivedi and Mr Adige, which total Rs 50 lakh. No penalty was imposed on BCIL, because an order commencing its liquidation had been made in September 2019.
