What is alleged to have happened

The order of 16 April 2026 is an adjudication order by a SEBI adjudicating officer in Mumbai. The noticees are Lypsa Gems & Jewellery Limited (LGJL), a listed company, and four individuals connected with its management: Dipan Babulal Patwa, Manish Jaysukhlal Janani, Jeeyan Dipan Patwa and Sonal Dipan Patwa.

The show-cause notice of 13 June 2025 alleged a series of failures in LGJL's published financial statements between the 2017-18 and 2023-24 financial years. These included leaving out cash flow statements and consolidated accounts, omitting an auditor's report for 2019-20 and subsidiary financial summaries, and not recognising expected credit losses. SEBI said these meant the statements did not give a true and fair view and amounted to concealment and misrepresentation under regulation 4 of the PFUTP Regulations and the listing regulations.

The order holds the PFUTP and listing-regulation violations made out against the company and, under section 27 of the SEBI Act, against its officers. It treats the omissions as a reckless disregard of accounting standards rather than a lapse, finds that the director who ran most of the company's affairs signed misrepresented statements, and states that investor loss and gain could not be quantified and that no earlier violations appeared on record.

It imposes Rs 10 lakh on the company under section 15HA and Rs 2 lakh under section 15HB, Rs 5 lakh under section 15HA on Dipan Patwa and Mr Janani jointly and severally, and Rs 1 lakh under section 15HB on Jeeyan and Sonal Patwa jointly and severally. The listed amounts add up to Rs 18 lakh. No market restraint or disgorgement was ordered.
