In September 2023 the Commission des sanctions fined the holding company Rallye EUR 25 million and its former chief executive EUR 1 million for misleading financial communications between March 2018 and May 2019 about its liquidity lines and financing terms. It found eleven publications breached the market manipulation rules on false or misleading information.

What is alleged to have happened

The Commission des sanctions of the AMF, sitting as a full committee, decided the matter on 7 September 2023. The respondents are Rallye, a company on compartment A of Euronext Paris that controlled the retailer Casino, and Franck Hattab, its chief executive until September 2022 and responsible for its financial communication.

The notifications alleged that fourteen communication documents on eleven dates between 8 March 2018 and 15 May 2019 gave false or misleading signals about the price of Rallye shares, in breach of articles 12.1 c) and 15 of the Market Abuse Regulation. They alleged the same against Mr Hattab under article 12.4.

The Commission found that Rallye presented a UBS credit line as freely available, alongside other lines described as confirmed and unused, although the market had foreseen that the line would probably be unavailable. It found that documents presented financings as having no early-repayment triggers where the underlying agreements allowed early repayment depending on the Casino share price, and that one loan carried a clause requiring minimum undrawn credit lines. It upheld eleven publications (annual and half-year results, annual reports, reference documents, shareholder meeting presentations and a September 2018 press release on a credit line), and held that the breaches were attributable to Mr Hattab. It accepted that the harm to investors could not be precisely quantified but was real.

It fined Rallye EUR 25,000,000 and Mr Hattab EUR 1,000,000 and ordered publication without anonymisation.
