What is alleged to have happened
The first section of the Commission des sanctions decided this matter on 30 October 2008, after an investigation opened in December 2005 into the market in Airox, a breathing-equipment maker listed on Eurolist, and notifications of grievances sent on 24 July 2007. On 20 October 2005 its main shareholder sold 900,000 shares (18 per cent of the capital) to institutions at EUR 14.50 through a placement run by HSBC. The respondents were HSBC France, its equity salesman X, and Y and Z, an analyst and a fund manager at another firm.
The AMF alleged that X had told Y of the coming placement, that Z had used that as inside information, that X had run a market sounding without the required prior consent or records, that he had talked a client out of an order for 53,100 shares so that the placement discount would not be affected, and that HSBC France had failed on market-sounding, conflict and watch-list rules.
The Commission found the information passed on did not amount to inside information, since it did not give the discount or block size, and cleared Y and Z and rejected the insider charge against X. It found X had breached the market-sounding rules and had undermined market integrity by inducing a client to suspend a buy order until the placement. It found HSBC France had added the share to its watch list on 18 October, though the project committee had authorised the operation on 3 October. It noted mitigating factors: HSBC internal documents had encouraged a faster sounding procedure.
It issued a warning to HSBC France and a warning to X, with no financial penalty, and cleared Y and Z. Publication was ordered with the individuals anonymised.
